In any high value transaction it
will be normal to consult a Lawyer
or Accountant to finalize the
transaction in the normal way; in
fact it is compulsory to use a
Notary Public in the transfer of
Company Shares or Real Estate Title
in many European countries.
However, many transactions become
over complicated or in the worse
cases stall altogether simply
because the wrong expert is used for
the wrong part of a transaction.
A prime example is a purchaser
insisting that ALL aspects of a
transaction are dealt with solely by
there appointed Lawyer.
Lawyers are notoriously famous for
being busy and expecting them to
deal with the minutiae of a complex
transaction is asking for completion
date problems, as well as constant
stalling of negotiations. Whilst we
heartily recommend that a lawyer is
thoroughly consulted prior to
commitment, allow other appropriate
experts to carry out their
investigations first.
The normal due diligence process
should include a variety of people,
primarily the consultant to source
and investigate the business,
product or property etc, they will
in turn approach accounting experts
to verify and analyse documentation
and reporting etc.
In the final stages, these findings
will be passed to a Lawyer for
verification, and should the process
go forward it may be finalised at a
Public Notary.
Keeping loosely to this process
allows small glitches and issues to
be resolved quickly and efficiently.
It also saves considerably on legal
costs etc.
